The bill related to the broadcast and protection of creation on Internet was adopted in a French Ministers’ Council on 18 June 2008. Subsequently, and according to the process of law-making, the bill was successively adopted in first reading by the Senate on 30 October 2008 and by the National Assembly on 2 April 2009.

On April 6, 2009, the Council of the European Union quietly and without debate decided to transform the European Police Office (EUROPOL) into a Community Agency starting on January 1, 2010… Only few lines in the press release which followed the 2,936th Council Meeting were devoted to this subject, important for European construction as well as for European security enhancement.

Depuis le 01/09/2006 en France, lorsqu’une livraison de biens ou une prestation de service est effectuée par un opérateur non établi en France, la TVA doit être acquittée par l’acquéreur du bien ou du service lorsque celui-ci est identifié à la TVA en France.

Le but de cette mesure était claire : contrer la fraude à la TVA. Mais tout est-il devenu plus simple pour les étrangers en France ? : Plus de TVA à facturer, plus d'enregistrement à la TVA en France, plus besoin de représentant fiscal ni d'avocat fiscaliste…
Et bien non. Si à première vue, cette disposition semblait cohérente, sa pratique depuis 18 mois n’est pas en phase avec la réalité des activités internationales et ce, pour 5 raisons.

Le 29 juin dernier, la Cour Suprême des États-Unis d’Amérique jugeait l’affaire Hamdam v. Rusmfeld et déclarait illégaux – tant au regard du Code Uniforme de Justice Militaire qu’au regard des Conventions de Genève - les tribunaux militaires spéciaux institués par l’administration Bush pour juger les prisonniers de Guantanamo. Tirant les conclusions de cette décision, le Président Bush a fait adopter - à l’approche d’élections périlleuses - le “Military Commission Act of 2006” qu’il a promulgué le 17 octobre dernier en ces termes : « Il est rare que le président signe une loi tout en sachant quelle va sauver des vies américaines et j'ai ce privilège ce matin ». La réalité semble toute autre…

Limited Partners (or LP's) are the main provider of cash to Private Equity class asset. The funds providers are named LP's and the team managing the fund are called General Partners (GP's).
Over a period of twelve months roughly $ 320 billion has been committed to new funds by private equity investors. Even if its cumbersome to exactly number the LP's worldwide, several available data estimate that there are roughly 3 200 LP's active. These LP's have a combined aggregate allocation of approximately $ 1.3 trillion...
Who are they?

A ce jour il n’existe pas de lois de règles universelles qui pourraient normaliser la notion et le fonctionnement de Gouvernance d’entreprise.
A contrario, d’abondants organismes de supervisions tels que l’Autorité des Marchés Financiers (AMF), l’Association Française de la Gestion Financière (AFG) et d’autres associations se sont penchées sur le contenu à donner à la Gouvernance d’entreprise.

Let’s focus on the French Small and Medium Enterprise (PME – Petite et Moyenne Entreprise).
Several studies agree that roughly between 500 000 and 750 000 PME will be confronted over the next 10 to some major ownership changes.
These changes will not happen over night, different steps will have to be accomplished and the role of the traditional Private Equity will also have to take into consideration these emerging new markets that have already been scrutinized by the traditional corporate banks and with some “consultants” seeing there an opportunity to expand their activities and attracting new customers.
